Briccex Terms and Conditions
Terms governing access to and use of the Briccex website, web application, marketplaces, payments, tenancy services and investment-related features.

1. Introduction
These Terms and Conditions govern your access to and use of the Briccex website, web application, mobile application, dashboards, communication channels, property marketplaces, payment features, tenancy services, investment-related features and all other services made available through Briccex.
Briccex is a real estate technology platform operated by Webxer Innovations [Limited/Registered Business Name], a company registered under the laws of the Federal Republic of Nigeria with registration number [Insert Registration Number] and registered address at Central Business District, Abuja, Federal Capital Territory, Nigeria.
In these Terms:
- “Briccex,” “we,” “us,” and “our” refer to Webxer Innovations and, where applicable, its authorised subsidiaries, partners, contractors and service providers.
- “User,” “you,” and “your” refer to any person or organisation accessing or using the Platform.
- “Platform” means the Briccex website, application, dashboards, services and related technology.
- “Property Provider” includes a property owner, landlord, developer, agent, property manager or other person authorised to list or manage a property.
- “Transaction” includes a property purchase, rental, reservation, inspection, payment, listing, subscription or approved investment-related activity conducted through the Platform.
- “Investment Opportunity” means an approved property-backed, fractional, SPV-based or other investment-related opportunity displayed through Briccex.
- “SPV” means a special purpose vehicle established or appointed to own, hold, manage or administer a particular property or investment opportunity.
- “Escrow” means an arrangement under which transaction funds are held by an approved bank, trustee, payment provider, escrow provider, SPV or other authorised party until specified conditions are satisfied.
By creating an account, accessing the Platform, clicking “Accept,” submitting a listing, making a payment or using any Briccex service, you confirm that you have read, understood and agreed to these Terms.
Where you do not agree with these Terms, you must not use the Platform.
2. Other Applicable Documents
These Terms should be read together with the following documents, where applicable:

- Cookie Policy.
- Refund and Cancellation Policy.
- Property Listing Policy.
- Risk Disclosure Statement.
- Escrow Terms.
- Investment or offering documents.
- SPV agreements.
- Tenancy or lease agreements.
- Property sale agreements.
- Subscription agreements.
- Referral or affiliate terms.
- Any additional terms displayed for a specific service.
Where a specific transaction agreement conflicts with these general Terms, the specific transaction agreement will apply to that transaction, except where doing so would violate applicable law.
3. Nature of the Briccex Platform
Briccex provides technology and related support services that may allow eligible users to:
- Search for properties available for sale or rent.
- Submit property enquiries.
- Schedule inspections.
- Apply to rent a property.
- List properties.
- Connect with verified or authorised Property Providers.
- Make approved payments.
- Receive transaction records and receipts.
- Access tenancy-management features.
- Access property documentation.
- Participate in eligible property-backed opportunities.
- Manage approved property or investment interests.
- Access other real estate services made available from time to time.
Unless expressly stated in a specific transaction document, Briccex is not:
- The owner of every property listed on the Platform.
- The landlord of every rental property.
- The developer of every listed project.
- The buyer’s or seller’s lawyer.
- A surveyor, valuer, architect or engineer.
- A bank or deposit-taking institution.
- An insurer.
- A guarantor of property title.
- A guarantor of investment returns.
- A guarantor that a property will be sold, rented or occupied.
- An investment adviser, stockbroker, fund manager or crowdfunding intermediary, unless the relevant entity is properly authorised to perform that function.
Briccex may perform certain services directly or through verified third-party professionals, payment providers, property companies, SPVs, financial institutions and regulated operators.
4. Eligibility
To use Briccex, you must:
- Be at least 18 years old.
- Have the legal capacity to enter into a binding agreement.
- Provide accurate and complete information.
- Not be prohibited from using the service under applicable law.
- Comply with all identity-verification requirements.
- Use the Platform only for lawful purposes.
A person below 18 years may not independently open an account, make a payment, enter a property transaction or participate in an Investment Opportunity.
Where you use Briccex on behalf of a company, partnership, estate, trust, association or other organisation, you confirm that:
- The organisation legally exists.
- You have authority to represent it.
- You have authority to accept these Terms on its behalf.
- The organisation will be responsible for activities conducted through its account.
5. Account Registration
Some Platform features may only be available to registered users.
When creating an account, you agree to:
- Provide truthful, current and complete information.
- Maintain only accounts you are authorised to operate.
- Keep your profile information updated.
- Use a secure password.
- Keep your login details and authentication codes confidential.
- Inform Briccex immediately if you suspect unauthorised account access.
- Accept responsibility for activities carried out through your account, except where caused by Briccex’s proven security failure.
You must not:
- Create an account using another person’s identity.
- Provide false identity or business information.
- Sell, transfer or rent your account.
- Allow unauthorised persons to operate your account.
- Create multiple accounts to avoid restrictions.
- Use another user’s payment details without authority.
Briccex may reject an account application or restrict account features where the required information cannot be verified.
6. Identity Verification and KYC
Briccex may conduct identity, business, property, payment, fraud-prevention and compliance checks.
You may be required to provide:
- Full legal name.
- Date of birth.
- Phone number and email address.
- Residential or business address.
- Government-issued identification.
- Bank Verification Number or other permitted identity reference.
- Passport photograph or facial-verification information.
- Bank account details.
- Source-of-funds information.
- Corporate registration documents.
- Beneficial-ownership information.
- Tax information.
- Property ownership documents.
- Authority to list or manage a property.
- Any additional information reasonably required by Briccex, a payment provider, SPV, financial institution or regulatory authority.
You authorise Briccex and its approved service providers to verify the information you submit through lawful databases, financial institutions, identity-verification providers, public records and authorised third parties.
Briccex may delay, restrict, suspend or reject a service where:
- Information is incomplete or inconsistent.
- Identity cannot be verified.
- The source of funds is unclear.
- Fraud or unlawful activity is suspected.
- A legal or regulatory requirement prevents the transaction.
- Additional review is reasonably necessary.
Verification does not mean that Briccex guarantees the character, conduct, financial capacity or future actions of any user.
7. Property Listings
Property Providers may be permitted to submit properties for sale, rent, short-let, development, management or approved investment purposes.
A Property Provider must ensure that:
- The property exists.
- The location is correctly stated.
- The description is accurate.
- Photographs and videos relate to the actual property.
- Prices, fees and payment terms are clearly disclosed.
- Material defects or restrictions are disclosed.
- The person listing the property has legal authority to do so.
- The listing does not infringe another person’s rights.
- Ownership and authority documents are authentic.
- The property is not subject to an undisclosed dispute, acquisition, encumbrance, court order or competing sale.
- The listing complies with applicable planning, land, tenancy, consumer and advertising laws.
- Information is updated when circumstances change.
A Property Provider must not:
- List a property without the owner’s authority.
- Submit fake or altered documents.
- Create duplicate or misleading listings.
- Advertise a property that is no longer available.
- Misrepresent the title, size, condition or legal status of a property.
- Conceal material charges.
- Collect unauthorised payments from users.
- Direct users to unofficial payment channels to avoid Briccex controls.
- Misrepresent themselves as employees of Briccex.
Briccex may edit the format of a listing for presentation purposes but will not intentionally change its material commercial meaning without appropriate authorisation.
8. Property Verification
Briccex may apply verification procedures to selected listings, users and documents.
Verification may include:
- Identity checks.
- Ownership-document review.
- Authority-to-list confirmation.
- Property-location confirmation.
- Physical inspection.
- Image or video review.
- Developer verification.
- Corporate-registration checks.
- Search reports from lawyers or other professionals.
- Survey, valuation or title review.
- Additional checks considered appropriate.
A “Verified” badge means only that the listing or user passed the verification process applied by Briccex at the relevant time.
Verification does not constitute:
- A guarantee of legal title.
- A government title registration.
- A warranty that documents cannot later be challenged.
- A structural or engineering certification.
- A professional valuation.
- A guarantee that the property is free from every encumbrance.
- A guarantee that the Property Provider will perform all obligations.
- A substitute for independent legal and professional due diligence.
Verification may be based partly on information supplied by third parties. Briccex may withdraw a verification status where new information raises reasonable concerns.
9. User Due Diligence
Before buying, renting, reserving or investing in any property, you are responsible for conducting appropriate independent due diligence.
Depending on the transaction, this should include:
- Physical property inspection.
- Independent legal title search.
- Verification at the relevant land registry.
- Survey-plan confirmation.
- Planning and building-approval checks.
- Confirmation of outstanding ground rent, service charges, taxes or levies.
- Structural or engineering inspection.
- Professional valuation.
- Confirmation of the seller’s or landlord’s identity.
- Review of transaction agreements.
- Independent financial, legal and tax advice.
You must not rely solely on photographs, videos, projections, platform descriptions, marketing materials or verification badges when making a significant property decision.
10. Property Enquiries and Inspections
Users may submit enquiries or request property inspections through Briccex.
An inspection request is not a guarantee that:
- The inspection will take place at the requested time.
- The property will remain available.
- The owner will accept an offer.
- The user will qualify to rent or purchase the property.
Users attending an inspection must:
- Follow reasonable access and security instructions.
- Respect the occupants and property.
- Avoid damaging or removing property.
- Not make unauthorised recordings where prohibited.
- Not engage in harassment or unlawful conduct.
Inspection fees, where applicable, must be disclosed before payment.
Briccex may cancel or reschedule an inspection for security, availability, operational or other reasonable reasons.
11. Property Reservations
A reservation may temporarily remove or restrict a property from general availability.
Reservation conditions, including the amount, validity period, refund conditions and consequences of non-completion, must be displayed or communicated before payment.
Unless expressly stated otherwise:
- A reservation is not a transfer of ownership.
- A reservation is not a tenancy.
- A reservation does not replace a signed property agreement.
- A reservation does not guarantee completion where legal or compliance requirements are not met.
Reservation fees may become non-refundable where the user withdraws after the agreed cancellation period or fails to satisfy agreed conditions, provided the applicable conditions were clearly disclosed before payment.
12. Buying and Selling Property
A property sale is subject to:
- Satisfactory due diligence.
- Agreement between the buyer and seller.
- Execution of the required transaction documents.
- Payment of the agreed consideration.
- Satisfaction of applicable conditions.
- Completion of title-transfer requirements.
- Applicable taxes, consent fees, registration fees and professional charges.
An offer submitted through Briccex is not binding on a seller unless accepted in accordance with the applicable transaction process.
Ownership does not transfer merely because:
- A user clicked a purchase button.
- A reservation was made.
- An enquiry was submitted.
- An initial payment was made.
- A property was saved to a user account.
The applicable sale agreement and property laws determine when ownership or beneficial interest transfers.
Briccex may suspend a transaction where a dispute, irregularity, payment problem or compliance concern arises.
13. Rental and Tenancy Services
Briccex may facilitate rental applications, rent payments, service-charge payments, document access, receipts, renewal notices and communication between tenants, landlords and property managers.
A rental listing does not guarantee that an applicant will be accepted.
Landlords or authorised property managers may reasonably request:
- Identity documents.
- Employment or income information.
- References.
- Guarantor information.
- Previous tenancy information.
- Security deposit.
- Rent and service-charge payments.
- Other lawful screening information.
Any tenancy is governed primarily by the signed tenancy or lease agreement and applicable law.
Unless expressly stated in a signed agreement, Briccex is not the landlord and is not responsible for:
- The physical condition of the property.
- Repairs controlled by the landlord.
- Utility supply.
- Neighbour conduct.
- Estate-management decisions.
- The landlord’s compliance with the tenancy agreement.
Briccex may assist with complaints and communication but does not replace the legal rights and obligations of the tenant and landlord.
14. Rent and Service-Charge Payments
Where enabled, tenants may make rent, service-charge, security-deposit and other approved payments through the Platform.
Payments will be credited according to the applicable transaction reference and payment-provider confirmation.
A payment displayed as “pending” has not been finally confirmed.
Users must review:
- The beneficiary.
- Property reference.
- Payment amount.
- Payment purpose.
- Applicable charges.
- Refund conditions,
before confirming payment.
Briccex may issue a digital receipt or payment confirmation. A Platform receipt records the payment processed through Briccex but does not automatically amend the terms of the tenancy agreement.
15. Fees and Charges
Briccex may charge fees for selected services, including:
- Listing services.
- Verification.
- Property promotion.
- Inspection coordination.
- Transaction processing.
- Escrow administration.
- Property management.
- Tenancy management.
- Subscription plans.
- Professional services.
- Investment administration.
- Transfers or withdrawals.
- Referral or affiliate services.
- Other premium services.
Applicable fees will be displayed or communicated before the relevant paid service is confirmed.
Unless expressly stated otherwise:
- Fees are quoted in Nigerian Naira.
- Bank and payment-provider charges may apply separately.
- Government fees, taxes, registration charges and professional fees are not included.
- Promotional pricing may be withdrawn after the promotion expires.
Briccex may revise future fees by providing reasonable notice. A fee change will not retrospectively alter a completed transaction.
16. Taxes and Government Charges
Users are responsible for determining and paying taxes, consent fees, stamp duties, registration fees, capital gains taxes, withholding taxes, land charges and other government obligations applicable to their transactions.
Briccex may deduct or remit taxes where required by law.
Information displayed on the Platform does not constitute tax advice.
17. Payments
Payments must be made only through channels officially approved for the relevant transaction.
Briccex may use banks, payment processors, payment-service providers, trustees, escrow providers and other authorised institutions.
You must not make payment to:
- An unknown personal bank account.
- A person claiming to represent Briccex without verification.
- A payment channel not displayed or confirmed through an official Briccex communication.
- A third party requesting payment to bypass Briccex processes.
Briccex may place a payment under review where:
- The payer’s identity does not match the account.
- The transaction appears unusual.
- A chargeback or dispute has been raised.
- The payment reference is incorrect.
- Fraud, money laundering or unlawful activity is suspected.
- A bank, payment provider or authority requires review.
Briccex is not responsible for delays caused solely by banks, telecommunications providers, payment processors or other external systems, but will provide reasonable assistance in resolving verified payment issues.
18. Wallet and Account Balances
Where Briccex provides a wallet or balance feature, the balance may represent:
- Funds received for an approved transaction.
- Refundable amounts.
- Rental or property income.
- Referral commissions.
- Investment distributions.
- Internal transaction records.
- Other approved credits.
Unless expressly stated otherwise:
- A Briccex wallet is not a bank account.
- Briccex does not accept deposits as a bank.
- Wallet balances do not earn interest.
- Wallet balances may be held or processed through authorised financial institutions.
- Withdrawal may be subject to verification, fees, transaction limits and compliance checks.
Briccex may reverse an incorrect or duplicate credit after providing an explanation and maintaining appropriate transaction records.
19. Escrow-Supported Transactions
Eligible transactions may use an escrow arrangement.
The relevant transaction information should state:
- The amount to be held.
- The approved escrow holder.
- The conditions for release.
- The documents or confirmation required.
- Applicable charges.
- Dispute procedures.
- Refund conditions.
Funds may be held by a licensed financial institution, trustee, payment provider, SPV or other approved party rather than directly by Briccex.
Escrow funds may be released when the agreed conditions are satisfied, including where:
- The buyer confirms completion.
- Required documents have been executed.
- The inspection or verification condition has been completed.
- The applicable cooling-off or dispute period has expired.
- An authorised person provides a valid release instruction.
- A binding settlement, arbitral award, court order or regulatory direction requires release.
Briccex may temporarily prevent release where a genuine dispute, legal restriction, fraud concern or compliance issue exists.
Escrow does not guarantee the quality, profitability or future value of a property.
20. Refunds and Cancellations
Refund eligibility depends on:
- The type of service.
- The stage of the transaction.
- The applicable property agreement.
- Whether the service has already been performed.
- Whether funds have been released.
- The reason for cancellation.
- Any clearly disclosed non-refundable component.
- Applicable consumer-protection law.
Fees for completed verification, advertising, inspections, legal searches or other completed professional services may be non-refundable where this was clearly disclosed before payment.
Approved refunds will generally be returned to the original payment method or another verified account belonging to the payer.
Briccex may request supporting information before processing a refund.
Refund processing time may be affected by banks and payment providers.
Nothing in these Terms removes a refund or consumer remedy that cannot lawfully be excluded.
21. Property-Backed and Fractional Opportunities
Briccex may display or facilitate selected property-backed or fractional opportunities only where the applicable structure, operator and offering are legally permitted.
An opportunity may involve:
- A property-owning SPV.
- Shares, units, contractual interests or other approved instruments.
- Rental-income participation.
- Profit participation.
- Property-sale proceeds.
- Other rights described in the applicable offering documents.
The precise legal rights of a participant will be determined by the relevant:
- Offering memorandum.
- Subscription agreement.
- SPV constitutional documents.
- Shareholders’ or participation agreement.
- Property documents.
- Custody or trustee arrangements.
- Risk disclosure.
- Applicable regulatory approvals.
A participant does not automatically become the registered owner of a physical portion of the property unless the transaction documents expressly provide otherwise.
Briccex may act as a technology provider or agency operator while the legal property, funds or investment records are held or administered by an SPV, custodian, trustee, bank, registrar or regulated operator.
22. Regulatory Condition for Investment Services
No information on Briccex should be treated as a public offer, investment solicitation or regulated investment service unless:
- The relevant opportunity has been lawfully structured.
- Required approvals or registrations have been obtained.
- The offering is made through an appropriately authorised entity or permitted arrangement.
- The user has received the applicable offering and risk documents.
- The user satisfies the required eligibility and verification conditions.
Briccex may:
- Limit access to investment-related features.
- Restrict opportunities to eligible users.
- Require additional suitability or compliance information.
- Work with SEC-registered capital-market operators.
- Suspend an offering pending regulatory review.
- Cancel an offering where legal requirements cannot be satisfied.
A user must not represent that an opportunity is approved by a regulator unless a written approval expressly confirms this.
23. Investment Risk Disclosure
Property-backed and fractional opportunities involve risk.
Risks may include:
- Loss of some or all invested capital.
- Reduction in property value.
- Construction or completion delays.
- Low occupancy.
- Tenant default.
- Repair and maintenance costs.
- Changes in taxes and regulation.
- Title or documentation disputes.
- Development risk.
- Currency and inflation risk.
- Market illiquidity.
- Delayed distributions.
- Inability to resell an interest.
- SPV or counterparty default.
- Force-majeure events.
Projected income, returns, rental yield, occupancy, appreciation or exit values are estimates only and are not guaranteed.
Past property performance does not guarantee future performance.
Users should assess whether an opportunity is appropriate for their financial situation and obtain independent legal, financial and tax advice.
24. No Personal Investment Advice
Unless expressly provided by an appropriately licensed person under a separate agreement, Briccex does not provide personalised investment advice.
Property suggestions, rankings, projections, analytics, educational content and marketing information are general information only.
Briccex does not determine whether a particular opportunity is suitable for your:
- Financial position.
- Investment objectives.
- Risk tolerance.
- Tax circumstances.
- Liquidity needs.
You remain responsible for your final investment decision.
25. Income and Distributions
Where an approved opportunity generates distributable income, the amount available for distribution may be reduced by:
- Property-management expenses.
- Repairs and maintenance.
- Insurance.
- Taxes and levies.
- Vacancy costs.
- SPV administration.
- Professional fees.
- Platform charges.
- Reserves.
- Debt obligations.
- Other costs permitted under the transaction documents.
Distribution dates and amounts are not guaranteed unless expressly stated in a binding agreement.
Briccex may withhold a distribution where:
- Recipient verification is incomplete.
- Bank details are inaccurate.
- A legal restriction applies.
- A tax deduction is required.
- A dispute exists.
- The SPV has not authorised the distribution.
26. Resale and Liquidity
Briccex may provide an approved resale, transfer or secondary-market feature for eligible interests.
The ability to list an interest for resale does not guarantee:
- An immediate buyer.
- A sale at the original price.
- A profit.
- Completion within a particular period.
- Continuous operation of a resale marketplace.
Transfers may be subject to:
- Minimum holding periods.
- Buyer eligibility.
- Right-of-first-refusal provisions.
- Regulatory restrictions.
- SPV approval.
- Documentation requirements.
- Valuation rules.
- Transaction fees.
- Taxes.
- Availability of buyers.
Briccex may suspend transfers where required by law or where a property, SPV or user is under review.
27. Agents and Property Representatives
Agents may use Briccex only after satisfying applicable verification and authority requirements.
An agent must:
- Act under valid authority.
- Accurately identify the property owner or developer.
- Disclose their role.
- Disclose applicable commissions.
- Avoid collecting unauthorised payments.
- Maintain accurate property information.
- Comply with applicable professional and legal standards.
Approval as a Briccex agent does not make the agent an employee, partner or legal representative of Briccex.
Agents may not bind Briccex to any agreement unless they have express written authority.
28. Referral and Affiliate Programme
Briccex may operate a referral or affiliate programme under separate programme rules.
Referral rewards may be subject to:
- Successful account verification.
- Completion of a qualifying transaction.
- Expiry periods.
- Minimum withdrawal limits.
- Fraud checks.
- Reversal following a refund or chargeback.
- Applicable taxes.
- Programme-specific conditions.
Users must not:
- Create fake referrals.
- Refer themselves through duplicate accounts.
- Send unsolicited or misleading promotions.
- Promise guaranteed returns.
- Misrepresent Briccex.
- Use Briccex trademarks without permission.
- Promote an investment service contrary to applicable law.
Briccex may suspend or reverse rewards generated through abuse, fraud or prohibited marketing.
29. User Content
Users may submit:
- Property descriptions.
- Photographs.
- Videos.
- Documents.
- Reviews.
- Messages.
- Comments.
- Logos.
- Other content.
You retain ownership of content you lawfully own.
By submitting content to Briccex, you grant Briccex a non-exclusive, worldwide, royalty-free licence to host, copy, process, display, format, distribute and use the content for:
- Operating the Platform.
- Displaying the listing.
- Verifying information.
- Promoting the property or service.
- Preventing fraud.
- Providing customer support.
- Complying with legal obligations.
You confirm that:
- You own the content or have permission to use it.
- The content is accurate.
- The content does not violate privacy, copyright or other rights.
- The content is not unlawful, defamatory or misleading.
Briccex may remove content that violates these Terms.
30. Reviews and Feedback
Reviews must reflect genuine experiences.
Users must not submit:
- Fake reviews.
- Reviews in exchange for undisclosed payment.
- Threatening or defamatory content.
- Personal data unrelated to the review.
- Reviews intended to manipulate ratings.
Briccex may moderate or remove reviews that violate these Terms but is not required to remove a review merely because another party disagrees with it.
Feedback and product suggestions may be used by Briccex without an obligation to compensate the person providing them.
31. Prohibited Activities
You must not use Briccex to:
- Commit fraud or impersonation.
- Launder money or conceal unlawful funds.
- Finance unlawful activity.
- List stolen, disputed or unlawfully acquired property.
- Submit forged documents.
- Interfere with Platform security.
- Introduce malware or harmful code.
- Scrape data without permission.
- Reverse-engineer the Platform.
- Manipulate prices, reviews, referrals or transactions.
- Harass or threaten another user.
- Discriminate unlawfully.
- Violate intellectual-property rights.
- Circumvent fees or payment controls.
- Create unauthorised investment schemes.
- Make misleading investment promises.
- Collect users’ information for unauthorised marketing.
- Use the Platform in violation of any applicable law.
Briccex may report suspected unlawful conduct to the appropriate authority.
32. Intellectual Property
The Briccex name, logo, software, interface, design, text, graphics, databases, processes, trademarks and other platform materials are owned by or licensed to Webxer Innovations.
These Terms do not transfer ownership of Briccex intellectual property to any user.
You may access and use the Platform only for its intended purpose.
You must not, without prior written permission:
- Copy or reproduce substantial Platform content.
- Use the Briccex name or logo commercially.
- Create a confusingly similar platform.
- Modify or distribute Briccex software.
- Remove copyright or trademark notices.
- Register a domain, business name or social account that impersonates Briccex.
33. Third-Party Services
Briccex may integrate with or link to third-party services, including:
- Banks.
- Payment processors.
- Identity-verification providers.
- Mapping services.
- Property professionals.
- Lawyers.
- Valuers.
- Surveyors.
- Insurers.
- Developers.
- Property managers.
- Regulatory or government platforms.
Third-party services may have separate terms and privacy policies.
Briccex is not responsible for an independent third party’s acts or omissions except where Briccex is legally responsible or expressly accepted responsibility under a written agreement.
A link to a third-party service does not automatically amount to an endorsement.
34. Electronic Communications
You consent to receiving communications electronically through:
- Email.
- SMS.
- In-app notification.
- Dashboard notification.
- Telephone.
- WhatsApp or another approved messaging channel.
- Other contact details provided by you.
Electronic communications may include:

- Acceptance timestamps.

- Signed documents.
- Payment records.
- Other relevant audit information.
36. Privacy and Personal Data
Briccex processes personal data in accordance with its Privacy Policy and applicable Nigerian data-protection law.
Personal data may be processed for purposes including:

- Identity verification.
- Property transactions.
- Payment processing.
- Fraud prevention.
- Customer support.
- Regulatory compliance.
- Security.
- Service improvement.
- Marketing where lawfully permitted.
Users may have rights relating to their personal data, including rights of access, correction, objection, restriction, portability, withdrawal of consent and deletion, subject to applicable legal conditions.

37. Confidentiality
Users may receive confidential property, business, transaction or investment information.
You must not disclose or misuse confidential information except:
- For the relevant transaction.
- With the owner’s permission.
- Where required by law.
- To your professional advisers who are bound by confidentiality.
Confidentiality obligations do not apply to information that is lawfully public or independently obtained without a confidentiality breach.
38. Platform Security
Briccex uses reasonable technical and organisational measures to protect the Platform.
However, no internet service can be guaranteed to be completely secure or continuously available.
Users must:
- Protect their passwords and devices.
- Use only official Briccex channels.
- Review transaction information carefully.
- Avoid sharing verification codes.
- Report suspicious activity immediately.
- Keep contact details current.
Briccex will not request your full password or authentication code through an unsolicited call or message.
39. Platform Availability
Briccex may temporarily suspend or limit Platform access for:
- Maintenance.
- Security.
- System upgrades.
- Legal compliance.
- Technical failure.
- External-service interruption.
- Emergency reasons.
Briccex will make reasonable efforts to restore affected services but does not guarantee uninterrupted access.
Features may be added, modified, restricted or withdrawn where reasonably necessary.
40. Suspension and Termination
Briccex may restrict, suspend or terminate an account where:
- These Terms are violated.
- False information is provided.
- Fraud or unlawful conduct is suspected.
- Required verification is not completed.
- A payment dispute or chargeback exists.
- The account creates security or legal risk.
- A regulator, court or law-enforcement body requires action.
- The user abuses another person or the Platform.
- Fees remain unpaid.
- The account has remained inactive for an extended period.
Where reasonably possible and legally permitted, Briccex will provide notice and an opportunity to respond.
A user may request account closure, subject to:
- Completion of pending transactions.
- Settlement of outstanding fees.
- Preservation of legally required records.
- Resolution of disputes.
- Applicable investment or SPV restrictions.
Termination does not remove rights and obligations that arose before termination.
41. Disclaimers
To the extent permitted by law:
- The Platform is provided on an “as available” basis.
- Property availability may change without notice.
- Third-party information may contain errors or delays.
- Verification cannot eliminate every risk.
- Property values and rental income may rise or fall.
- Images may not fully represent a property’s present condition.
- Estimated returns are not guaranteed.
- A seller, landlord, tenant or investor may fail to perform obligations.
- Briccex does not guarantee that every dispute will be resolved through the Platform.
Nothing in these Terms excludes a warranty, consumer right or statutory obligation that cannot lawfully be excluded.
42. Limitation of Liability
To the maximum extent permitted by law, Briccex will not be liable for indirect, incidental, special or consequential loss arising from Platform use, including loss of anticipated profit, opportunity, goodwill or data.
Briccex will not be responsible for loss caused solely by:
- A user’s failure to conduct due diligence.
- False information submitted by another user.
- Unauthorised payment outside approved channels.
- A user sharing their password or verification code.
- Independent third-party conduct.
- Market changes.
- Property defects not known to Briccex.
- Events outside Briccex’s reasonable control.
Where Briccex is legally liable, its aggregate liability will, to the extent permitted by law, be limited to the service fees paid to Briccex for the particular transaction giving rise to the claim.
This limitation does not apply to:
- Fraud by Briccex.
- Wilful misconduct.
- Gross negligence where liability cannot be excluded.
- Funds that Briccex is legally required to return.
- Death or personal injury caused by negligence where liability cannot be excluded.
- Any other liability that cannot lawfully be limited.
43. Indemnity
To the extent permitted by law, you agree to indemnify Briccex against third-party claims, losses and reasonable legal costs arising from:
- Your unlawful use of the Platform.
- False information or documents submitted by you.
- Your breach of these Terms.
- Your infringement of another person’s rights.
- A property listed without proper authority.
- Your failure to perform a transaction agreement.
- Tax or regulatory obligations attributable to you.
Briccex will notify you of a material indemnity claim and allow reasonable participation in its defence, where appropriate.
44. Force Majeure
Briccex will not be liable for delay or failure caused by events beyond its reasonable control, including:
- Natural disasters.
- Fire or flooding.
- War, terrorism or civil unrest.
- Government action.
- Court or regulatory restrictions.
- Epidemics.
- Labour disruption.
- Internet or telecommunications failure.
- Banking or payment-system failure.
- Cyberattacks not caused by Briccex’s failure to apply reasonable security.
- Power failure.
- Failure of external infrastructure.
The affected party must take reasonable steps to reduce the effect of the event.
45. Complaints
Users may submit complaints through the official Briccex support channels.
A complaint should include:
- User’s full name.
- Registered contact details.
- Property or transaction reference.
- Date of the incident.
- Description of the issue.
- Supporting documents.
- Requested resolution.
Briccex may request additional information and may communicate with relevant Property Providers, payment institutions, SPVs or professionals.
Submitting a complaint does not prevent a user from exercising any statutory consumer right.
46. Dispute Resolution
46.1 Good-Faith Resolution
The parties should first attempt to resolve a dispute through good-faith communication.
A formal dispute notice should describe:
- The nature of the dispute.
- Relevant transaction details.
- Supporting evidence.
- The resolution requested.
The parties should attempt to resolve the dispute within 14 days after receipt of the notice.
46.2 Mediation
Where direct resolution fails, the parties may attempt mediation in Abuja, Nigeria, or through an agreed online mediation process.
46.3 Arbitration
Subject to any consumer right that cannot lawfully be restricted, a commercial dispute that remains unresolved may be referred to arbitration under the applicable arbitration laws of the Federal Republic of Nigeria.
Unless otherwise agreed:
- There will be one arbitrator.
- The seat of arbitration will be Abuja, Nigeria.
- Proceedings will be conducted in English.
- The arbitrator may award appropriate remedies and costs.
- The award will be final and binding, subject to rights provided by law.
46.4 Urgent Relief
Nothing prevents a party from seeking urgent protective or injunctive relief from a court of competent jurisdiction.
46.5 Consumer and Regulatory Complaints
Nothing in this section prevents a user from submitting a complaint to a competent consumer-protection, data-protection, securities, law-enforcement or other regulatory authority.
47. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
Subject to the dispute-resolution provisions and any mandatory consumer rights, the courts of the Federal Capital Territory, Abuja will have jurisdiction over disputes relating to these Terms.
48. Changes to These Terms
Briccex may update these Terms to reflect:
- Changes in law.
- Regulatory requirements.
- New Platform features.
- Security improvements.
- Business or operational changes.
- Clarification of existing provisions.
The updated version will display a revised “Last Updated” date.
Material changes may also be communicated by email, dashboard notice or another appropriate method.
Continued use after the effective date of an update constitutes acceptance, except where applicable law requires fresh consent.
A change will not retrospectively remove an accrued user right.
49. Assignment
You may not transfer your account or rights under these Terms without Briccex’s written consent.
Briccex may transfer its rights or obligations to an affiliate, successor or purchaser of the relevant business, provided this does not unlawfully reduce user rights.
Investment, property and tenancy interests may only be transferred in accordance with their specific agreements and applicable law.
50. Severability
Where any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in effect.
The invalid provision will, where legally possible, be interpreted or adjusted to reflect its intended lawful purpose.
51. No Waiver
A delay or failure by Briccex to enforce a provision does not waive its right to enforce that provision later.
A waiver is effective only where made in writing by an authorised representative.
52. Entire Agreement
These Terms, together with the applicable policies and transaction documents, constitute the agreement governing your use of Briccex.
They replace previous representations concerning Platform use, except for a separate signed agreement that expressly remains in force.
53. Relationship of the Parties
Nothing in these Terms creates an employment, partnership, joint venture, fiduciary or agency relationship between Briccex and a user, except where a separate written agreement expressly creates such a relationship.
Property Providers, agents, developers, lawyers, payment providers and other third parties are independent parties unless expressly stated otherwise.

55. Acceptance
By selecting “I Agree,” creating an account, listing a property, making a payment, participating in a transaction or continuing to use Briccex, you confirm that:
- You have read these Terms.
- You understand them.
- You agree to be legally bound by them.
- You have authority to accept them.
- You will comply with all applicable transaction documents and laws.
